Regulatory status

NAVIQUANT CAPITAL MANAGEMENT LLC is a registered investment adviser registered with the United States Securities and Exchange Commission. Registration does not imply a certain level of skill or training. SEC firm CRD 325236.

Although we provide our services virtually to individuals throughout the United States, we may provide individualized investment advice or recommendations to clients only in jurisdictions where we are properly registered, notice-filed, or exempt from registration. We will verify that we are authorized in the appropriate jurisdictions before providing services to new clients.

Form ADV & Form CRS

Our current Form ADV Part 2A Brochure describes our business practices, fees, conflicts of interest, and the educational and business backgrounds of our principals. Our Form CRS is a brief client-relationship summary, intended to help retail investors evaluate us against other firms.

Our strategies rely on quantitative models and a rules-based investment process. These models are developed using historical data and assumptions about how markets behave. Historical data and relationships are not necessarily indicative of future results, and there is no assurance that any strategy will meet its objectives.

Quantitative models have inherent limitations. They may contain errors in data, design, or implementation, and they may underperform — particularly in market conditions that differ materially from the periods on which they were developed, such as periods of unusual volatility, illiquidity, or structural change. Because the process is rules-based, it applies systematically and is not designed to react to circumstances outside its parameters.

All investing involves risk, including the possible loss of principal. No investment process, quantitative or otherwise, can guarantee a profit or protect against loss in any market environment. Hypothetical performance

Where this website displays sample or hypothetical performance figures (for example, the illustrative 60-month chart shown on the Approach page), those figures are hypothetical and do not represent the actual trading or performance of any client account. No client achieved the results shown.

Calculation methodology and assumptions. The hypothetical figures are derived by applying the model's published target allocation to historical market data on a backward-looking basis. They are presented gross of advisory fees, transaction costs, and other expenses, all of which would reduce the results shown, and they assume continuous full investment in accordance with the model, reinvestment of dividends and income, and no deposits, withdrawals, or cash-flow timing effects. The figures are prepared with the benefit of hindsight, reflect the model as currently constructed, and do not reflect the impact that material economic and market conditions would have had on Naviquant's decision-making had actual client assets been managed over the periods shown.

Risks and limitations. Hypothetical performance has inherent limitations and is not a reliable indicator of future results. Because the trades were not actually executed, the figures do not reflect the financial risk, liquidity constraints, or behavioral pressures present in actual trading and may under- or over-compensate for the effect of certain market factors. Quantitative, rules-based models rely on historical data and assumptions and can underperform — sometimes significantly — particularly in market conditions that differ from those in which the model was developed. There is no assurance that any account will achieve results comparable to those shown. Actual client returns will differ — sometimes materially — due to deposits and withdrawals, tax circumstances, fees, the specific timing of trades, and prevailing market conditions. Past performance and hypothetical performance are not indicative of, and are no guarantee of, future results.
